Pentland Precision Terms and Conditions

The price quoted excludes VAT (unless otherwise stated)
Our quotations lapse after 30 days (unless otherwise stated)
The price quoted excludes delivery.
Unless otherwise stated the price quoted is an illustrative estimate only.  

All delivery times quoted are estimates only. Every effort will be made to deliver the goods on the delivery time stated. However, we will not take responsibility for the ‘late delivery of goods’ if this has been delayed due to problems on behalf of your company.

  • Awaiting further information on drawings, plans etc.
  • Awaiting on delivery of free issue materials.
  • Awaiting on inspection or shipment details from your company.
  • Delivery times only begin from an agreed confirmation of order.
  • Times can stop while waiting for answers from the customer.

We may deliver the goods in installments. Each installment is treated as a separate contract. If you refuse or fail to take delivery of the goods, we shall be entitled to immediate payment in full for them. If the goods are damaged or any other problems, this must be detailed to us in writing within 5 days from receipt of goods.

We may decline to deliver if:

  • We believe that it would be unsafe, unlawful or unreasonably difficult to do so.
  • The premises (or access to them) are unsuitable for the delivering vehicle.

Goods in Transit
Unless we receive a complaint in writing within 5 days of the receipt of the goods, the goods shall be deemed to be undamaged and in a good condition and of the quantity and description invoiced. Or in the case of non-delivery within such time, from the date of dispatch which will enable us to make a reasonable claim to our carrier. The claim is made under Road Haulage Association rules.

Payment Terms
Payment will have to be received in advance, unless you have an approved credit account. Credit is at the discretion of the company.

If you have a credit account with us we require payment within 30 days after the date of invoice. If you fail to pay us in full on the due date we may suspend or cancel any future deliveries. If you have a credit account, we may withdraw it or reduce your credit limit or bring forward your due date for payment. We may do any of those at any time without notice. You do not have the right to set off any money you may claim from us against anything you may owe us.

While you owe money to use, we have a lien on any of your property in our possession. You are to indemnify us in full and hold us harmless from all expenses and liabilities we may incur (directly or indirectly and including legal costs of an indemnity basis) following any breach by you of any of your obligations under these terms.

Until you pay all debts due:

  • All goods supplied by us remain our property until paid in full.
  • You must inform us in writing immediately if you become insolvent.

Late Payment Charges
Charges and interest will be claimed under the late payment acts, depending on current legislation.

Interest is 8% above Bank of England base rate.

Compensation under the act is:

  • Debts less than £1000, the sum of £40.
  • Debts more than £1000 and less than £10,000 the sum of £70.
  • Debts more than £10,000 the sum of £100.

Cancellation of Orders
If we have commenced work on a contract/order that has been placed by your company, and you then decide to cancel due to no error on our part, your company will be liable to pay for any labour and parts that have been carried out up to the date we receive your cancellation or order.

Repair/ Replacement Work
Any repair or replacement work to be carried out is on the basis of a preliminary examination of the goods to be repaired.

If this is due to a fault carried out in our manufacturing, the goods/work will be replaced or repaired at our cost. If the faults are due to the following:

  • Lack of instruction on your behalf.
  • Unclear drawings/instructions on your behalf.
  • Damaged incurred by your company on supplying, installing etc. on the supplied work.
  • The work shall be repaired or replaced at your cost.
  • No claims for sub sequential loss will be agreed.

Goods Not of Our Manufacture
In respect of goods not of our manufacture we will give you the guarantee that has be received from our supplier.

Sale of Goods
We may deliver goods by separate installments. Each separate installment shall be invoiced and paid for in accordance with the provisions of the applicable contract. Each installment delivery will be a separate contract and no cancellation or termination by either party of any one contract relating to an installment will entitle you to repudiate or cancel any other contract or installment.

Each invoice raised by us to you will be payable in full, without deduction or set off, in accordance with our standard payment terms. You agree that you will not be entitled to set off any claim against an invoice:

  • Unless you have notified us in writing within 14 days of delivery of any defect or shortage in the goods delivered.
  • Any claim arising out of the supply of goods under a contract other than that which gave rise to the debt forming the subject matter of the invoice.

If we manufacture/supply goods in accordance with your specifications or instructions you must ensure:

  • That the specifications or instructions are accurate.
  • The goods are prepared in accordance with those specifications or instructions that will fit for the purpose for which you intend to use them.
  • That the specifications/designs will not result in the infringement of any rights belonging to a third party.

If there is any such claim or threatened claim by a third party in respect of such specifications or designs you will indemnify us in respect of all loss damage, costs or expenses (including legal fees) which we may incur in connection with any such claim or threatened claim.

Force Majeure
If we should be directly or indirectly prevented from, or delayed in performing the contract by strikes, lock-outs, riots, military or usurped power, war, blockade, fire, ice, Government action or any other course not within our control, then either the time for delivery shall be extended for a period equivalent to the duration of the retention or delay or we may at its option at any time before the time stated in the contract for delivery (or if not time is stated before the cessation of the delaying or preventing cause) determine the contract complete.

The Law
The contract between our company and the customer for the supply of any goods or services which includes these conditions shall be governed and construed and shall take effect in accordance with Scottish Law.
